  • Custom software, internal tools, and integrations

Specific deliverables, timelines, and pricing are defined in written agreements, proposals, or statements of work (“SOWs”).

3. No Guarantee of Results

While we aim to deliver high-quality, effective solutions:

  • We do not guarantee specific financial, marketing, performance, or business outcomes.

  • Results depend on many factors outside our control, including third-party platforms, market conditions, and client implementation.

4. Client Responsibilities

You agree to:

  • Provide timely access to required information, assets, and approvals.

  • Ensure you own or have rights to any content you provide.

  • Use our Services in compliance with all applicable laws and regulations.

Delays caused by missing or inaccurate client input may affect timelines and outcomes.

5. Payments & Fees

Unless otherwise agreed in writing:

  • Fees are quoted in Canadian Dollars (CAD).

  • Invoices must be paid according to the agreed payment schedule.

  • Late or unpaid invoices may result in service suspension or termination.

All fees are non-refundable unless explicitly stated otherwise in writing.

6. Intellectual Property

6.1 Lab168 Property

All tools, frameworks, methodologies, code libraries, designs, and proprietary systems developed by Lab168 remain our intellectual property unless otherwise agreed.

6.2 Client Deliverables

Upon full payment:

  • Clients receive a license to use agreed deliverables for their intended business purpose.

  • Ownership transfer (if any) must be explicitly stated in writing.

7. Third-Party Services

Our Services may integrate with third-party platforms (e.g., Google Workspace, hosting providers, APIs, analytics tools).

Lab168 is not responsible for:

  • Downtime, changes, or failures of third-party services

  • Data loss or interruptions caused by external platforms

Use of third-party services is subject to their own terms and policies.

8. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the engagement, unless disclosure is required by law.

9. Termination

We reserve the right to suspend or terminate access to our Services if:

  • These Terms are violated

  • Payment obligations are not met

  • Use of the Services creates legal, security, or reputational risk

Termination does not waive any outstanding payment obligations.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Lab168 shall not be liable for indirect, incidental, consequential, or special damages.

  • Our total liability shall not exceed the amount paid to us for the specific Services giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Lab168 from claims, damages, or expenses arising from:

  • Your misuse of the Services

  • Your violation of these Terms

  • Content or data you provide

12. Governing Law

These Terms are governed by and interpreted in accordance with the laws of Canada, without regard to conflict-of-law principles.
